Job Description

Assistant General Counsel collaborates closely with the General Counsel on corporate strategic and tactical legal initiatives. Responsible for reviewing, drafting, and working with project teams to negotiate various forms of construction contracts. Provides legal advice to project teams on issues related to the construction industry, claims, change orders, disputes, subcontracts, etc. Assists the General Counsel with training initiatives to improve company procedures and processes, in addition to assisting General Counsel in managing and training legal assistant and/or other support staff assisting with legal matters. Identifies risks and advises on risk mitigation strategies. Works closely with various departments including HR, Risk, Project Controls, Safety, etc. Assists the General Counsel in managing outside counsel in relation to litigation or other dispute resolution, audits, investigations, etc. Will work closely with bonding and insurance companies to resolve claims and other issues. 

A Juris Doctorate (JD), and three to five years  of relevant experience is desired. Admission in at least one jurisdiction is required. Three to five years of experience drafting or reviewing complex commercial contracts, preferably in the construction industry is preferred. Remote work may be allowed. 

  • Provides legal advice on major construction contracts and agreements.
  • Maintains high level of expertise and active internal and external networks on key legal developments in construction, employment, contract, ESOP, compliance, risk, and other areas of key concern to the Company’s success, profitability and strategic goals. Shares knowledge and perspective and collaborates and leads in training and developing others in the Company on these matters.
  • Supports General Counsel with evaluating claims and litigation filed against the Company and responding to and resolving those issues.
  • Reviews contracts (owner, subcontractor, supplier, etc.) to evaluate risks and proposes/negotiates mutually beneficial language to best protect the Company.
  • Creates and manages business legal reports and correspondence, and effectively presents information to senior management, project teams and departments.
  • Advises on and participates as appropriate to inquiries from regulatory agencies and business partners.
  • Helps to avoid, respond to, negotiate and resolve disputes.
  • Assists General Counsel in providing legal advice on matters addressed in the Company’s policies.
  • Researches and provides opinions on various legal issues as needed to support the General Counsel and senior management.
  • Assists General Counsel in managing and training legal assistant and/or other support staff assisting with legal matters.
