The role of Contracts, VP is to be accountable for and lead the Contracts team, and implement continuous improvement on contract agreement templates, policies and procedures. This role is accountable for the negotiation and risk assessment of the terms and conditions governing all company proposals for new business, change requests under existing contracts, and contract modifications. This role oversees all contract administration, contract compliance and contract close-out activities, and partners with operations to develop and maintain strong client relationships
Contracts: • Leads the oversight of contract services supporting state, federal and commercial business, supporting business capture, proposal drafting and review, contract negotiations, contract administration and contract closeouts. • Develops relationships with client contractual counterparts, including in person and by phone/email to evidence CNSI’s commitment to the client mission, contract compliance, early identification of issues/challenges, and partnering to resolve problems and capture opportunities. • Partner to the PM, project control and other stakeholders inside CNSI in interpreting contract requirements, defending contractual rights, protecting CNSI intellectual property, negotiating contract transactions, and contract amendments/modifications. • Responsible for allocating risk between CNSI and its prime contractors, subcontractors, vendors and suppliers, as applicable. • Responsible for the continuous improvement of CNSI contract templates, including but not limited to, NDA, Confidentiality Agreement, Teaming Agreement, Subcontract, License Agreement, Lobbying Agreement, Staff Agency Agreement, and Work Orders. • Responsible for administration of the At-Risk process when client funding is not available to fund project work. • Applies proven communication skills, problem-solving skills, and knowledge of best practices to guide the contracts team and advise company stakeholders on issues related to people, processes, contract terms, intellectual property and value pricing. • Capable of developing “out of the box” solutions to address contractual/business issues. • Responsible for Organizational Conflict of Interest and Personal Conflict of Interest oversight, identification and mitigation. • Responsible for oversight of CNSI’s Supplier Agreement Management system for procurement. • Assesses and identifies areas for process improvement in the delivery of contract services, including the appropriate use of technology to bring efficiency and effectiveness in the timely delivery of contract services. • Develops strong knowledge of all company products, solutions and services. • Trains employees on contract related policies, processes and procedures in group settings.
General: • Interfaces with senior management and provides industry insights and best practices. • Determines, evaluates, and modifies plans, policies and procedures to meet current and future needs. • Handles work situations that deal regularly with future contract/business issues. • Synthesizes many perspectives on conflicting ideas in crafting the best solution for the company. • Addresses contract/business issues beyond immediate needs. • Provides oversight of contractual relationships with prime contractors, subcontractors, vendors, and suppliers. • Maintains awareness of each client’s culture, influencers, pain points, and opportunities from the contracts perspective. • Translates company strategies into current and future action plans.
Customer: • Creates and maintains customer relationships with client contracts representatives and ensures a strong customer service and customer mission focus during the life cycle of procurement/contract relationship. • Partners with customer contract representatives to identify issues early, support informal resolution of issues and challenges, while protecting the interests of the company, and supporting the organic growth of the client relationship. • Oversees and participates in customer facing meetings, provides customer-facing presentations on contracts issues/challenges as appropriate. • Manages complex internal and external customer/subcontractor/vendor/supplier relationships for long term value. • Possesses unwavering commitment to contract administration and service both internally and externally. • Keeps abreast of changes in the federal and state laws and regulations that govern our contracts and opportunity pursuits. • Supports CNSI’s CMMI standards and processes. • Possesses exception customer relationship skills, including the ability to identify client concerns impacting contract performance/compliance, and to recommend solutions, mitigating actions in collaboration with the company stakeholders and customer client representatives.
Talent Development: • Ensures appropriate use of all available resources within the contracts team. • Encourages and facilitates the career development of the members of the contracts team.
Education & Experience: To perform this job successfully, an individual must have the following education and experience:
Required: •Bachelor’s degree with 15+ years of contract experience, a minimum of 8 years of state contract experience, 5 years of federal contract experience, managing the full lifecycle of public sector procurements/contracts. • Experience interpreting RFPs, RFIs and TORFPs terms and conditions, supporting complex proposals in response to federal and state government solicitations.
• Preferred: •NCMA certification • Experience in the Healthcare IT or Healthcare professional services industry
Required: • Understanding of FAR, commercial contract law, technology licensing. •Ability to work with Microsoft Word, Powerpoint, Excel, Sharepoint
Professional Experience & Skills:
• Domain knowledge and subject matter expertise on the life cycle of federal and state government procurements. • Thorough and practical understanding of how state RFIs, RFPs, Solicitations and sole source procurements are administered. • Thorough and practical understanding of how federal RFIs, RFPs, Solicitations, and sole source procurements are administered. • Thorough and practical understanding of professional services/information technology contract terms and conditions in order to identify risks and mitigate/allocate risks in support of CNSI. • Seasoned experience in a contract leadership role. • Ability to meet deadlines in supporting proposal development and delivery before the submission due date. • Excellent problem-solving, analytical and evaluative skills • Excellent communication skills (verbal, written, facilitation) with strong presentation and facilitation skills at all levels of the company (from individual contributor to executive level). • Experience at working both independently and in a team-oriented, collaborative environment. • Effective negotiation skills. • Strong presentation skills.
