INFICON Inc. has a new position for Corporate Counsel located in East Syracuse, NY. The ideal candidate will provide direction, guidance, and assistance on legal matters related to INFICON within areas including, but not limited to, contracts, taxation, warranty/recalls, acquisitions, employment/regulatory compliance and general corporate law.
Negotiate, write and execute agreements and contracts on behalf of the company
Review, draft, and negotiate a range of sales agreements, including distribution and reseller agreements, pricing agreements, group purchasing organization agreements, private label agreements, rebate agreements, marketing agreements, sponsorship agreements, evaluation agreements, license agreements, business associate agreements, and non-disclosure agreements; advise on contract status, legal risks, and legal liabilities associated with different deals; provide advice that balances business objectives and legal risk
Advise leadership within the company and offer counsel on a variety of legal issues and act as liaison with outside counsel on matters requiring external legal assistance; work closely with several business units; deliver accurate, creative, timely, and user-friendly legal advice in a fast paced environment
Manage the continuous improvement of standard form agreements and contracting workflows, including updating templates and delivering training, to drive efficiency; maintain legal research database
Provide general regulatory advice and training, remain current on legal decisions, statutory changes, and other developments, and advise accordingly.
Research and anticipate unique legal issues that could impact the company
Review advertising & marketing materials to ensure they meet legal requirements
Add value to the business by supporting new business initiatives and projects; positively influence outcomes through persuasion and collaboration
EDUCATION AND EXPERIENCE:
Licensed attorney with J.D. degree from recognized law school; admitted to recognized bar
2-3 years experience in a law firm and/or in-house at a corporation
Demonstrated ability to master wide ranging fields of law & apply in complex problem solving in support of the business and to communicate critical information in an effective manner
Contract drafting, interpretation and negotiation preferred
Although not required, intellectual property and multi-national experience is a plus.

Highly effective written and verbal skills with the ability to relate directly, openly, and effectively with internal and external parties
Strong interpersonal and presentation skills, along with ability to communicate effectively with all levels of the organization
Strong conceptual, analytical and negotiation skills and superb listening capabilities
High degree of organization with demonstrated attention to detail
Firm understanding of contractual terms and legal, regulatory, and compliance concepts
Proactive, practical business sense
Possesses a personal presence that is characterized by a sense of honesty and integrity
Ability to work independently on routine matters and exercise appropriate independent judgment and also know when to seek guidance and input from relevant stakeholders
Ability to work in a fast-paced, multi-tasking environment under tight deadlines
